Terms of Use

These Terms of Use (“Terms”) govern access to and use of merchantaccess.io and any affiliated websites, portals, applications, dashboards, or digital environments that link to these Terms (collectively, the “Sites”), operated by MERCHANT ACCESS.IO INC, a Florida corporation, doing business as MerchantAccess.io (“MerchantAccess.io,” “Company,” “we,” “us,” or “our”).

By accessing or using the Sites or any Services, you agree to be legally bound by these Terms.

If you do not agree, you must immediately discontinue use.

MerchantAccess.io operates a technology-enabled ecommerce marketplace platform that facilitates connections and operational coordination between independent Merchant Users and Advertiser Users.

MerchantAccess.io:

• Is not a bank, financial institution, lender, broker-dealer, money transmitter, payment processor, ISO, or acquiring bank
• Does not issue merchant accounts
• Does not underwrite financial risk
• Does not take possession of, custody, or signatory authority over user funds
• Does not act as a paymaster, escrow agent, or financial intermediary
• Does not directly initiate, execute, or settle fund transfers
• Does not guarantee approvals, funding, processing continuity, or profitability
• Does not provide legal, tax, accounting, or investment advice

All financial services are provided exclusively by independent third parties.

You acknowledge that MerchantAccess.io is a neutral infrastructure provider and does not assume fiduciary obligations.

You represent and warrant that:

• You are at least 18 years of age and legally competent
• You have authority to bind any entity you represent
• All information submitted is accurate and complete
• You are not subject to sanctions, watchlists, or regulatory prohibitions

We reserve the right to verify eligibility and deny access at our sole discretion.

Access to certain Services requires account registration.

You agree to:

• Maintain accurate account information
• Safeguard login credentials
• Immediately report unauthorized access
• Accept responsibility for all actions taken under your account

MerchantAccess.io may suspend or terminate accounts at any time for compliance, security, or risk reasons.

The Services are provided on an “as available” basis.

MerchantAccess.io makes no representation or warranty regarding:

• Merchant account approvals
• Processing volume
• Revenue levels
• Approval timing
• Reserve determinations
• Banking relationships
• Continuity of financial services

All underwriting and financial decisions are made exclusively by third parties.

Certain Services require payment of fees pursuant to separate agreements or posted pricing.

All fees are:

• Earned upon receipt
• Non-refundable unless expressly stated
• Subject to change upon notice

You agree to comply with:

• All applicable federal, state, and international law
• Card network rules and financial institution requirements
• Anti-money laundering laws
• Anti-fraud statutes
• Data protection regulations

MerchantAccess.io may monitor usage for compliance purposes and may disclose information as required by law.

The Sites may integrate or reference third-party providers.

MerchantAccess.io does not control and is not responsible for:

• Third-party underwriting decisions
• Processor reserves or holds
• Banking delays
• Regulatory actions
• Account closures

Your relationship with such providers is independent of MerchantAccess.io.

Failure to remit fees when due may result in suspension or termination.

All content, systems, methodologies, compliance frameworks, documentation standards, and software are proprietary.

No license is granted except for limited, revocable access for intended platform use.

Unauthorized reproduction or distribution is strictly prohibited.

You agree not to:

• Disclose proprietary methodologies
• Circumvent platform relationships
• Solicit Merchant Users or Advertiser Users outside the platform

Violation may result in injunctive relief and damages.

THE SITES AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

MerchantAccess.io disclaims all warranties, express or implied, including:

• Merchantability
• Fitness for a particular purpose
• Non-infringement
• Uninterrupted access
• Accuracy of third-party information

Use is at your sole risk.

To the maximum extent permitted by law:

MerchantAccess.io shall not be liable for:

• Indirect damages
• Consequential damages
• Lost profits
• Lost revenue
• Loss of goodwill
• Business interruption
• Regulatory penalties
• Processor reserves or clawbacks

Aggregate liability shall not exceed the total fees paid by you to MerchantAccess.io during the twelve (12) months preceding the claim.

You agree to indemnify and hold harmless MerchantAccess.io and its affiliates from any claims arising out of:

• Your use of the Services
• Your regulatory violations
• Chargebacks or financial losses
• Misrepresentations
• Fraudulent activity

This obligation survives termination.

MerchantAccess.io may suspend or terminate access immediately and without notice if:

• Compliance risks arise
• Regulatory exposure is identified
• Required by a financial institution
• Payment default occurs

All disputes shall be resolved through binding arbitration in the State of Florida.

You waive:

• Jury trial rights
• Class action participation

MerchantAccess.io may seek injunctive relief in court where appropriate.

We may preserve and disclose information as required by law.

MerchantAccess.io shall not be liable for delays or failures caused by events beyond its reasonable control, including:

• Acts of government
• Banking disruption
• Processor action
• Network outages
• Natural disasters

MerchantAccess.io may assign these Terms without restriction.

You may not assign rights without written consent.

Provisions relating to indemnification, limitation of liability, confidentiality, dispute resolution, and intellectual property survive termination.

We may revise these Terms at any time.

Continued use constitutes acceptance.

These Terms supplement, but do not replace, executed Merchant or Advertiser agreements.

In the event of conflict, the executed agreement controls.
